Terms of Service

1. Agreement
These Terms of Service (the “Terms”) govern your access to and use of the CaribCompass property-management platform (the “Service”) operated by CaribCompass (“we”, “us”,“our”). By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not accept either document, do not use the Service.
2. The Service
CaribCompass is multi-tenant software that helps landlords, property managers, owners, and their tenants manage properties, leases, rent invoicing, online payments, maintenance requests, owner statements, and related workflows. Features available on your account depend on the plan you have selected and any add-ons you have enabled.
We may add, remove, or change features from time to time. We will not remove a materially-relied-upon feature from your current paid plan without either providing a substantially equivalent replacement or giving you a right to cancel with a pro-rated refund of unused prepaid fees.
3. Account Roles
The Service recognises the following user roles:
- Company Admin / Property Manager / Accountant. Staff of a landlord organisation that owns or manages properties in the Service. Company Admins may invite additional staff, assign permissions, and administer their organisation's data.
- Owner.A property owner who receives owner statements and (where enabled) has read access to their properties' performance data via the owner portal.
- Tenant. An occupant of a leased unit who receives bills, submits maintenance requests, and (where enabled) pays rent through the tenant portal.
- Platform Administrator (CaribCompass staff). Our personnel with elevated access for operational, support, and incident-response purposes. Platform-admin actions are recorded in an audit log.
Only Company Admins may enter into these Terms on behalf of a company. Individual staff, owners, and tenants use the Service subject to their organisation's account and to these Terms as applied to them personally.
4. Account Registration & Security
- You must provide accurate, current, and complete information when creating an account and keep that information up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@caribcompass.com if you suspect unauthorised access.
- You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
- Where a company account is created, the person creating the account represents that they have authority to bind the company to these Terms.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law, including consumer-protection, housing, and privacy laws.
- Use the Service to harass, discriminate against, or unlawfully evict a tenant.
- Attempt to gain unauthorised access to the Service, other accounts, computer systems, or networks connected to the Service.
- Introduce viruses, worms, or other malicious code.
- Interfere with or disrupt the integrity or performance of the Service, or probe or test its vulnerability without our prior written consent.
- Use the Service to send spam, phishing, or other unsolicited communications.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
- Resell, sublicense, or repackage the Service without our prior written agreement.
6. Subscriptions, Fees & Refunds
- Free trial. New paid-plan accounts may include a 30-day free trial. At the end of the trial the account converts automatically to the plan chosen at signup unless you downgrade or cancel before the trial ends.
- Renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual). You may upgrade, downgrade, or cancel from /settings/billing at any time.
- Upgrades. Upgrades take effect immediately and are billed on a pro-rated basis for the remainder of the current period.
- Downgrades and cancellations. Take effect at the end of the current billing period. You retain access to your current plan through the paid-for period. Fees already paid for the current period are not refunded on a voluntary downgrade or cancellation unless required by law.
- Past-due accounts. If a subscription invoice remains unpaid past its due date, we may (i) send reminders, (ii) downgrade the account to the Free plan seven (7) days after due date, and (iii) suspend access after thirty (30) days. Your data is retained for a further ninety (90) days during which you may pay the balance to reactivate.
- Currency and taxes. Subscription fees are billed in the currency displayed at checkout and are exclusive of applicable taxes, duties, and government levies, which are your responsibility unless we are required by law to collect and remit them.
- Refund policy. Except where required by mandatory local consumer-protection law, subscription fees are non-refundable once paid. If you believe you were charged in error, contact billing@caribcompass.com within 14 days of the charge.
7. Online Payments (SKN Pay)
Where the online-payments feature is enabled, tenant rent payments are processed by SKN Pay (a third-party payment service provider). You acknowledge that:
- Card details never touch CaribCompass servers. All cardholder data is handled by SKN Pay under its own security standards. We store only the transaction identifier and payment metadata.
- Pro and Business plansconnect their own SKN Pay merchant account. Payments settle directly into your bank account on SKN Pay's payout schedule. CaribCompass does not hold or route the funds and is not a payment intermediary for these transactions.
- Free and Starter plansuse CaribCompass's platform SKN Pay account as an aggregator. Funds settle first into the CaribCompass account, and we forward the net amount (gross payment minus a per-transaction processing fee, currently 2.9% + $0.30) to you on our payout schedule. Payouts are recorded in /settings/payouts.
- Chargebacks, refunds, and disputes are governed by SKN Pay's rules and by your merchant or aggregator agreement. Where CaribCompass is the aggregator, we may recover the value of a reversed payment from your subsequent balance.
- You are responsible for the accuracy of the amounts you invoice, for lawful collection, and for any refunds you agree to give a tenant.
8. Your Data
You retain ownership of the property, tenant, lease, financial, and other data you input into the Service (“Your Data”). You grant us a limited, worldwide, royalty-free licence to host, store, process, transmit, and display Your Data solely to operate, maintain, and improve the Service, to provide it back to you and your authorised users, and to meet legal obligations.
Where Your Data includes personal information of third parties (e.g., your tenants, applicants, owners, or staff), you are the data controller for that information and CaribCompass acts as your processor. You represent that you have the necessary consents, notices, and lawful basis to submit that data to us and to instruct us to process it. See our Privacy Policy for our processing practices.
Export. You may export Your Data from the Service at any time in commonly-used formats. On termination we will make Your Data available for export for at least ninety (90) days, after which it may be permanently deleted from active systems (backups age out per our retention schedule).
9. Intellectual Property
The Service, including its underlying software, design, and content (excluding Your Data), is owned by CaribCompass and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service in accordance with these Terms. No other rights are granted by implication.
You may provide feedback, suggestions, or ideas about the Service (“Feedback”). We may use Feedback without restriction or obligation to you, including to build, modify, or improve the Service.
10. Third-Party Services
The Service integrates with third-party providers, including SKN Pay (payment processing), Resend (transactional email), and the hosting infrastructure that runs the Service. Your use of those services is subject to their respective terms and privacy policies. We select our sub-processors carefully but do not guarantee their acts or omissions. A current sub-processor list is available on request.
11. Warranties & Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that any specific accounting, tax, or legal calculation performed by the Service will be accurate for your jurisdiction.
You are responsible for verifying calculations, legal notices, and any statutory forms produced by the Service before you rely on them for a real-world action (e.g., serving a notice on a tenant, filing a tax return).
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will CaribCompass, its affiliates, or its licensors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business, arising out of or related to your use of the Service, regardless of the theory of liability and even if we have been advised of the possibility of such damages.
Our total aggregate liability for any and all claims arising out of or related to the Service in any twelve-month period will not exceed the greater of (a) the fees you paid to us in the twelve months preceding the claim, or (b) USD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions this section applies to the fullest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless CaribCompass and its officers, directors, employees, and agents from and against any third-party claims, damages, and reasonable expenses (including legal fees) arising out of Your Data, your use of the Service in violation of these Terms, your relationship with any of your tenants, applicants, owners, or staff, or your violation of any law or rights of any third party.
14. Termination
You may terminate your account at any time from /settings/billing. We may suspend or terminate your access if you materially breach these Terms, use the Service in a manner that risks damage to us or others, fail to pay applicable fees, or if we are required to do so by law. On termination for our convenience we will refund any unused prepaid subscription fees on a pro-rata basis.
15. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which CaribCompass is established, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the competent courts of that jurisdiction, unless a mandatory local consumer-protection law requires otherwise. The parties waive any right to a jury trial where such waiver is permitted.
16. Changes to the Terms
We may modify these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide at least thirty (30) days' advance notice through the Service or by email to your Company Admin. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to a material change, you may cancel your subscription and, if you have prepaid, receive a pro-rated refund for the unused portion.
